How This Calculator Works

When a new investor joins, the existing shareholders give up part of their ownership to make room. This calculator lets you decide how that dilution is shared out among the existing shareholders, then shows everyone's ownership after the round.

The Formulas

Share Given Up = New Investor Ownership × Dilution Share
New Ownership = Current Ownership − Share Given Up
Existing ownership must total 100%  ยท  Dilution shares must total 100%  ยท  After the round, everyone's ownership totals 100%

What Each Input Does

Investor Name / Ownership (%)
Each existing shareholder and what they own now.
Dilution Share (%)
How much of the total dilution this shareholder takes on. To dilute everyone equally, set it equal to their ownership.
New Investor Ownership (%)
The stake the new investor gets, more than 0% and less than 100%.

Step by Step

  1. The calculator checks that ownership and dilution shares each add up to 100%.
  2. Each shareholder gives up the new investor's stake × their dilution share.
  3. That is subtracted from their current ownership.
  4. The new investor is added with their stake, and the total is checked to be 100%.

Reading the Result

Diluted ownership โ€“ each person's percentage after the round. A shareholder cannot give up more than they own.

Quick Example

Founder A owns 60% and Founder B 40%, with dilution shares of 60% and 40%. A new investor takes 20%. A gives up 12% and B gives up 8%, so after the round A owns 48%, B owns 32% and the new investor owns 20%.
